Sparkfund is hiring a full-time Associate Counsel who will work with our team to support our unique blend of legal work, ranging from problem solving on complex customer legal challenges to creative approaches to contracting and deal support. Reporting to our Senior Counsel in our DC office, we’re looking for a lawyer with five or more years of experience working with commercial customer financing who has a knack for thinking on their feet and outside the box and who can make a significant contribution to achieving Sparkfund’s business goals.
As Associate Counsel, we would look for you to both creatively address immediate issues, and update or create processes that reflect our learnings, in an effort to streamline and smooth future transactions across the organization. This will include working with the Senior Counsel and across the company to maintain consistency, version cleanliness, standardization, and accuracy across our legal documentation. You will play a critical role in adding to the development of the legal architecture of the company by expanding our philosophy and approach to contracts, processes, documentation, negotiation strategies, and other critical components for the future of Sparkfund and our Technology Subscription (our main, and differentiating, go-to-market offering). You will play a central role in our customer engagement efforts, joining in-person meetings and conference calls to communicate and educate external parties on our Technology Subscription in a way that fosters problem solving and drives towards deal close.
Here's what you'll get to do:
Draft and negotiate a wide variety of commercial agreements, including financial, partnership, and intellectual property agreements
Engage with customers to solve complex problems in support of customer objectives while protecting Sparkfund business objectives
Update and maintain Sparkfund legal best practices including developing procedures to ensure compliance with all relevant laws and regulatory requirements
Maintain a robust and well-documented version control and change control system for Sparkfund contracts
Update and maintain processes for communicating structural changes to internal and external stakeholders
Review standard documents drafted by internal stakeholders before distribution to external parties
Negotiate with equity and debt providers, or with financial partners in considering securitization of a portfolio of assets
Here's what you'll need to be successful:
Juris Doctor (JD) degree; membership in good standing in a state bar
5+ years of legal experience after law school, to include drafting and negotiating complex documents in the commercial finance space. Experience in the energy space is a plus
Strong analytical skills, including in contract and other legal issues
Experience in analyzing risk and developing risk mitigation strategies
Ability to represent Sparkfund excellently in client engagements with the ability to be solutions oriented, friendly, and clear
Proven ability to manage and prioritize multiple projects within a fast paced environment
Ability and willingness to work creatively to solve the challenge at hand, and to implement lessons learned to avoid redundant future work
Ability to navigate effectively between the big picture and the intricate details for both the company’s legal architecture as well as individual deals and contracts
Ability to communicate effectively, in both written and verbal communications, with executive leadership, and broadly with internal and external stakeholders who do not come from a legal background
Ability to thrive in ambiguity and uncertainty and effectively navigate unanticipated challenges. Startups are typically characterized by rapid change and a corresponding ability to adapt is expected
Interest and ability to learn new software tools and use them as the primary means of communication, including Slack (our internal communication tool), Asana (our project management tool), and Google Drive (our knowledge management tool). Interest in supporting legal work with technology is also welcome
