Overview: This position will report to Danielle Hunter, Executive Vice President, General Counsel, Chief Risk/Compliance Officer, and Corporate Secretary. This position will be based at C&J Energy Services’ corporate headquarters in Houston, TX. The Assistant General Counsel – Corporate and Securities will serve in a highly visible capacity, including assisting the Company’s General Counsel with corporate secretarial and Board management duties. He/she will be primarily responsible for federal securities laws and reporting matters, and related governance and compliance matters. The Assistant General Counsel will also handle legal work related to corporate transactions, including mergers and acquisitions, managing ad-hoc legal and corporate projects, assisting with the compliance program, and managing and coordinating outside counsel.
Company: C&J Energy Services is a leading provider of onshore well construction and intervention, well completion, well support and other complementary oilfield services and technologies to oil and gas exploration and production companies throughout the continental United States. The Company is a completions-focused service provider offering a diverse, integrated suite of services across the life cycle of the well, including hydraulic fracturing, cased-hole wireline and pumping, cementing, coiled tubing, rig services, fluids management and other completion and specialty well site support services. The Company is headquartered in Houston, Texas, and operates in all active onshore basins in the continental United States.
Experience: The successful candidate will have at least 7+ years of relevant experience gained at leading law firm and/or in-house positions (at a publicly-traded company) in roles of increasing responsibility. Ideal experience includes broad-based corporate, securities, governance, transactional and commercial matters that may arise from the day-to-day operations of a rapidly growing public company. Key responsibilities include Securities & Exchange Commission and reporting-related matters, including drafting and reviewing disclosures (i.e. 10-Ks and 10-Qs, earnings release and scripts, investor presentations, etc.) and preparing and managing filings (i.e. 8-Ks, Section 16 reports, proxy statements, etc.), as well as providing legal advice on general securities laws and NYSE matters. In addition, the candidate will provide legal counsel on the full spectrum of general corporate, governance and compliance matters, supporting all areas of C&J’s business, as well as work on transactional matters to support the business objectives of the company. Responsibilities also include supporting the Company's General Counsel who serves as Corporate Secretary in ensuring the proper recording of Board and Committee minutes and managing communications between the Board, Board Committees, senior management, investors and other stakeholders.
Compensation: Competitive and commensurate with experience to include base salary, short and long-term incentives and benefits.
